Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and Beacon Labs Inc. ("Beacon Labs," "we," "us"). By accessing or using any Beacon Labs product or service, you agree to these Terms. If you do not agree, do not use the services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our paid services. By using the services, you represent that you meet these requirements and that you have the legal authority to enter into these Terms.

3. Accounts

Some services require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at hello@beaconlabs.ca of any unauthorized access.

4. Acceptable use

You agree not to:

• Use the services for any illegal purpose or in violation of any law
• Attempt to gain unauthorized access to other accounts, systems, or data
• Interfere with or disrupt the services or related infrastructure
• Reverse-engineer, decompile, or attempt to extract source code
• Resell or commercially redistribute the services without written permission
• Use the services to spam, harass, or harm others

5. Payments and refunds

Paid services are billed in advance for the period selected at purchase. All payments are processed by Stripe and are subject to Stripe's own terms.

Refunds: Specific refund terms vary by product (see Section 6). Refunds are issued in the original currency to the original payment method, less any non-refundable third-party fees where applicable.

Taxes: Prices may be shown exclusive of applicable taxes. Where required, applicable GST, HST, PST, or VAT will be added at checkout.

6. Product-specific terms

6.1 RecruitOS

RecruitOS is a multi-tenant recruitment and onboarding platform sold to operating organizations ("Agencies"). Each Agency is responsible for the data and conduct of its end users (applicants and onboarding agents). Subscriptions renew on the schedule selected at signup; you may cancel at any time, effective at the end of the current billing period.

6.2 AgencyOS

AgencyOS is a multi-tenant SaaS platform sold to operating organizations ("Agencies"). Each Agency is responsible for the data and conduct of its end users ("Agents"). Subscriptions renew on the schedule selected at signup; you may cancel at any time, effective at the end of the current billing period. We do not pro-rate refunds for partial periods unless required by law.

6.3 PaceAI

PaceAI is offered with a free tier and optional paid features. Paid subscriptions are billed via the App Store / Play Store and governed by their respective refund policies. AI-generated briefings are provided as-is; we make no guarantees about their accuracy or fitness for any decision-making purpose.

6.4 HydrateAI

HydrateAI is offered as a free download with optional in-app purchases. App Store / Play Store refund policies apply. The app is not a medical device and does not provide medical advice; consult a healthcare professional for any hydration-related health questions.

6.5 Systemization Audit

The $500 CAD Systemization Audit is a paid consulting service consisting of a 90-minute discovery call, a written report delivered within approximately 10 business days, and a 30-minute follow-up call. The audit fee is fully refundable against any Sprint or Platform build commissioned within 90 days of the audit date. After 90 days, the audit fee stands on its own.

6.6 Studio engagements

Custom development engagements (Sprints, Platform builds, and ongoing Partnerships) are governed by a separate Statement of Work signed by both parties, which takes precedence over these Terms for the specific engagement.

7. Intellectual property

All Beacon Labs trademarks, product names, logos, and brand elements are the property of Beacon Labs Inc. The software and content we provide remain our property; you receive a limited, non-transferable license to use them in accordance with these Terms.

For custom builds delivered through studio engagements, intellectual property ownership is determined by the applicable Statement of Work.

8. Disclaimers and liability

The services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Beacon Labs' total aggregate liability for any claim arising from these Terms or the services is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data, even if advised of the possibility.

9. Termination

You may stop using the services at any time. We may suspend or terminate your access if you violate these Terms or if continued provision creates legal, security, or operational risk. We will give reasonable notice where practical.

Sections that by their nature should survive termination (intellectual property, disclaimers, liability, governing law) will continue to apply.

10. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts located in Ontario, except where applicable consumer-protection law requires otherwise.

11. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top. Continued use after a change constitutes acceptance. Material changes will be communicated by email or in-app notice where appropriate.
